Terms and Conditions for Franchise Consulting Services

These Terms and Conditions ("Terms") govern the provision of franchise consulting services ("Services") by [Your Company Name] ("Consultant," "we," "us," or "our") to you, the client ("Client" or "you"). By engaging our Services, you agree to abide by these Terms. Please read them carefully before proceeding.

1. Scope of Services:

2. Client Responsibilities:

  • Client acknowledges that the success of the consulting engagement may depend on Client's active participation and timely responses.

3. Confidentiality:

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the consulting engagement.

  • Consultant may use Client's information solely for the purpose of providing the Services and will not disclose it to third parties without Client's consent.

4. Termination:

  • Either party may terminate the consulting engagement with written notice if the other party breaches a material term of these Terms.

5. Intellectual Property:

  • Any reports, documents, or materials developed by Consultant during the engagement will remain the property of Consultant unless otherwise agreed in writing.

  • Client may use these materials solely for their intended purpose within the scope of the engagement.

6. Limitation of Liability:

  • Consultant's liability for any claims arising out of the provision of Services shall be limited to the total fees paid by Client for those Services.

  • In no event shall Consultant be liable for any consequential, incidental, or indirect damages.

7. Governing Law and Jurisdiction:

  • These Terms shall be governed by and construed in accordance with the laws of Illinois.

  • Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Ilinois.

8. Entire Agreement:

  • These Terms constitute the entire agreement between Consultant and Client regarding the provision of Services and supersedes all prior agreements, whether written or oral.

9. Modifications:

  • These Terms may only be modified in writing and signed by both parties.
